Terms of Use

The following Terms of Use ("Terms") apply to your use of the BYAD Tech website, applications, and related services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, please do not use the Services. BYAD Tech reserves the right to update these Terms at any time; material changes will be indicated by updating the date above, and your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.

Eligibility

You must be at least 13 years old (or the minimum age required in your jurisdiction) to use the Services. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

Restrictions on personal and noncommercial use

The Services are intended for personal and noncommercial use unless otherwise agreed in writing. You may not modify, copy, distribute, transmit, publicly display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information, software, products, or services obtained from the Services without the prior written permission of BYAD Tech.

Privacy and protection of personal information

Your privacy is important to us. Please read the Privacy Policy, which describes the types of data we collect from you and your device, how we use that data, and the legal basis for processing it. It also describes how BYAD Tech handles content that you upload, store, or share through the Services ("Your Content"). Where processing is based on consent and to the extent permitted by law, by agreeing to these Terms you consent to the collection, use, and disclosure of Your Content and data as described in the Privacy Policy.

Suggestions and feedback

We welcome suggestions and feedback. By submitting an idea, feature request, or other feedback, you grant BYAD Tech a perpetual, irrevocable, worldwide, royalty-free license to use it to build and improve products without obligation or compensation to you. We cannot guarantee that a suggestion will be built, but every submission is read.

Prohibited or unlawful use

As a condition of your use of the Services, you may not use them for any purpose that is unlawful or prohibited by these Terms. You may not use the Services in a manner that could interfere with, disable, overburden, or damage any BYAD Tech server or network, or that obstructs other users' enjoyment of the Services. You may not attempt to gain unauthorized access to the Services, other accounts, computer systems, or networks connected to BYAD Tech servers through hacking, password mining, or any other means, and you may not obtain or attempt to obtain any material or information through means not intentionally made available through the Services.

Use of the Services and termination

BYAD Tech is under no obligation to monitor the Services. However, we reserve the right to review material uploaded to the Services and to remove any material at our sole discretion. We reserve the right to suspend or terminate your access to any or all of the Services at any time, without notice, for any reason, including violation of these Terms.

Products and availability

Product availability statuses such as Beta, In Development, or Coming Soon describe current plans and may change without notice. Individual products may carry their own supplemental terms when released; those terms control in case of conflict for that product.

Intellectual property

The BYAD Tech name, logo, and all website and product content are owned by BYAD Tech or its licensors unless stated otherwise, and are protected by applicable intellectual property laws. Open source components remain under their respective licenses. Nothing in these Terms grants you any right to use BYAD Tech trademarks without prior written consent.

Third-party services and links

The Services may contain links to third-party websites or rely on third-party services. BYAD Tech does not control and is not responsible for third-party content, policies, or practices. Your use of third-party services is at your own risk and subject to their terms.

Disclaimer of warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. BYAD Tech DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BYAD Tech AND ITS SUPPLIERS SHALL NOT BE LIABLE FOR ANY SPECIAL, INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES OR LOSSES OF ANY KIND RESULTING FROM LOSS OF USE, DATA, OR PROFIT, WHETHER IN AN ACTION OF CONTRACT, NEGLIGENCE, OR OTHER TORT, ARISING OUT OF OR IN CONNECTION WITH THE SERVICES, INCLUDING THE USE OR PERFORMANCE OF INFORMATION AVAILABLE FROM THE SERVICES. IN JURISDICTIONS THAT DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, OUR LIABILITY IS LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.

Indemnification

You agree to indemnify and hold harmless BYAD Tech, its affiliates, and their respective officers and employees from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of the Services, Your Content, or your violation of these Terms or applicable law.

Governing law and severability

These Terms are governed by the laws of the jurisdiction in which BYAD Tech is established, without regard to conflict-of-law principles. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
